This Sublicense Agreement ("Agreement") is entered into on 09/06/2023 by and between Creative Logo and Designs / Affinity Studios, Micheal F / Neal Drummond {client has got more than one name, we do not know what name is real}, located at 13 Monks Court North Road, Lancing, West Sussex BN15 NBD, UK, in law any company, person who is the owner of Wix account with email oursites2023@gmail.com  ("Licensee") and Agata Business Services ("Licensor"), collectively referred to as "the Parties."

WHEREAS, Licensor is the owner of the original template available at the URL https://batorskagroup.wixsite.com/construction-05-m / https://affinitywebsites.wixsite.com/construction-05-m {fter transfer domain of purchase website Template, cost of purchase £0, the client got refund via eBay system("Template"); Once ownership will transfer to the client domain will change, and there will stay tracking on the Wix platform. 

Agata Business Services keep the Website Manager role

WHEREAS, Licensee desires to obtain a sublicense to use the Template for the purpose of Agata Business Services Element - Graphic sublicensed, subject to the terms and conditions of this Agreement;

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the Parties agree as follows:

• Grant of Sublicense

Licensor hereby grants to Licensee a non-exclusive, non-transferable sublicense to use the Template for the purpose of Creative Logo and Designs use only, subject to the terms and conditions of this Agreement.

• Ownership and Copyright

The Licensor shall retain exclusive ownership of all rights, title, and interest in the Template, including any modifications made by the Licensee. This ownership shall include copyright and all other intellectual property rights. The Licensee shall not acquire any form of ownership or other interest in the Template. In the event that the Licensee substitutes any graphic element within the Template, the sublicensing provision shall no longer apply.

• Use and Restrictions

Licensee may use the Template solely for the purpose of [specify intended use]. Licensee shall not modify, adapt, translate, or create derivative works of the Template without the prior written consent of the Licensor. Licensee shall not sublicense, distribute, sell, or otherwise transfer the Template or any rights under this Agreement to any third party without the prior written consent of the Licensor.

• Term and Termination

This Agreement shall remain in effect until terminated by either party. Either party may terminate this Agreement upon written notice to the other party. Upon termination of this Agreement, Licensee shall immediately cease all use of the Template and destroy all copies of the Template in its possession.

• Indemnification

Licensee shall indemnify, defend, and hold harmless Licensor and its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses arising out of or related to Licensee's use of the Template.

• Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom. The Parties submit to the exclusive jurisdiction of the courts of the United Kingdom.

1. Entire Agreement

This Agreement constitutes the entire agreement between the Parties and supersedes all prior negotiations, understandings, and agreements between the Parties relating to the subject matter of this Agreement.

Licensee:  Creative Logo and Designs

WHEREAS, Licensor is the owner of the original template available at the URL https://affinitywebsites.wixsite.com/construction-05-m https://batorskagroup.wixsite.com/construction-05-m / ("Template"); Once the ownership transfer will be done the domain will change. There will stay tracking at the Wix system.

WHEREAS, Licensee desires to obtain a sublicense to use the Template for the purpose of Vector Agata Business Services Element construction-05-m, Photo Agata Business Services Element construction-05-m subject to the terms and conditions of this Agreement;

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the Parties agree as follows:

Licensor hereby grants to Licensee a non-exclusive, non-transferable sublicense to use the Template for the purpose of Creative Logo and Designs use only, subject to the terms and conditions of this Agreement.
